Terms of Service

Welcome to Tenderframe Studio LLC ("Tenderframe," "we," "us," or "our"), a Texas Limited Liability Company. These Terms of Service ("Terms") govern your use of our website and services. By placing an order or using our services, you agree to these Terms in full.

1. Services

Tenderframe Studio creates original songs and cinematic videos from your personal memories. Our current service tiers include:

  • The Hit Single — A custom original song and kinetic typography lyric video, distributed to major streaming platforms.
  • The Tenderframe — A custom original song and cinematic music video featuring your photos, distributed to streaming platforms.
  • The Legacy Documentary — A full cinematic documentary with original score, interviews, archival photo restoration, and physical keepsakes.

Specific deliverables, timelines, and pricing for each tier are detailed at the time of order and in your individual Service Agreement.

2. Original Compositions

All musical compositions created by Tenderframe are 100% original works. When you provide reference artists or genre preferences (for example, "I want it to feel like Hozier"), we use that solely to guide the emotional tone and general aesthetic — not to replicate or imitate any existing artist's voice, likeness, style, or persona.

Every element of your song — including melodies, harmonies, chord progressions, lyrics, arrangement, and sound design — is created as an original work by Tenderframe. To the best of our knowledge, delivered compositions do not infringe upon any third-party copyrights, trademarks, or intellectual property rights.

3. Ownership & Intellectual Property

3.1 What Tenderframe Owns

Tenderframe Studio LLC retains full and exclusive ownership of all creative works produced under your order, including:

  • The master recording (the final audio in all formats)
  • The musical composition (melody, harmony, arrangement)
  • The lyrics
  • The lyric video or cinematic video and all visual elements
  • The cover artwork

Your order is for a production service and a license to use the resulting work — not a transfer of ownership. Tenderframe or its designated representatives are credited as the songwriter(s) on all platforms and registrations.

3.2 Artist Identity & Distribution

All songs are released under the artist name "Tenderframe" on streaming platforms. Your name will not appear as the performing artist. "Tenderframe Studio" will appear as the record label. Tenderframe has sole discretion over cover artwork, platform selection, metadata, and release timing.

3.3 Your License

Upon full payment, you receive a perpetual, non-exclusive, worldwide license for personal use of your completed project. This means you can:

  • Stream the song on any platform where it's available
  • Download and play the delivered audio files for personal enjoyment
  • Play the song at private events (weddings, parties, celebrations)
  • Share streaming links with friends, family, and on social media
  • Post the lyric video on personal social media accounts
  • Share download files privately with immediate family members

No attribution required for personal use. You can share and enjoy your song without mentioning Tenderframe.

3.4 Commercial Use

You may not use the song or video for commercial purposes without a separate written agreement from Tenderframe. Commercial purposes include advertising, monetized social media content, YouTube or podcast monetization, film or television placement, resale, sublicensing, business promotional materials, or any use that generates revenue.

3.5 Distribution Restrictions

Tenderframe retains the exclusive right to distribute the song through streaming platforms and digital distributors. You may not upload the song independently to Spotify, Apple Music, DistroKid, TuneCore, CD Baby, or any other distribution service. Duplicate uploads create conflicts, may result in takedowns, and violate these Terms.

3.6 Portfolio & Promotional Use

Unless you object in writing prior to project completion, Tenderframe may use the completed song and video in its portfolio, demo reels, and promotional materials. We will not identify you or your recipient by full name or disclose specific personal stories or details. You may opt out of portfolio use at any time by emailing hello@tenderframestudio.com.

4. Orders & Payment

4.1 Deposits

A 50% deposit is required to begin work on your project. The deposit reserves your production slot and covers initial creative work.

4.2 Final Payment

The remaining 50% balance is due two (2) business days before your scheduled delivery date.

4.3 Payment Methods

We accept payment via credit/debit card (Stripe), PayPal, and Square.

4.4 Late Payment

If the final payment is not received by the due date, delivery will be postponed until payment is received. A late fee of $25.00 will be assessed after 3 business days. After 14 days of non-payment, Tenderframe reserves the right to withhold deliverables and pursue collection.

4.5 Taxes

All prices are exclusive of applicable sales tax. You are responsible for any sales tax, use tax, or other taxes required by applicable law.

5. Cancellation & Refunds

5.1 Cancellation by You

You may cancel your project based on the following schedule:

  • First half of your project timeline: Full refund of your 50% deposit.
  • Second half of your project timeline: No refund. Final payment remains due as scheduled.

The halfway point is calculated from the date your deposit is paid to the agreed delivery date. For a standard 10-day project, Day 5 is the last day for a full deposit refund.

5.2 Cancellation by Tenderframe

In the unlikely event that Tenderframe must cancel a project (for example, due to unforeseen circumstances or force majeure), you will receive a full refund of all amounts paid.

5.3 No Refund After Delivery

Once final deliverables have been sent to you, no refunds will be issued. All sales are final after delivery.

6. Deliverables & Timeline

6.1 Delivery Timeline

Timelines vary by tier and are confirmed at the time of order. We will make reasonable efforts to deliver your project within the estimated timeline. Timelines may be extended if client-side delays occur (for example, delayed responses to lyric approvals).

6.2 What You Receive

Specific deliverables depend on your chosen tier and are detailed in your Service Agreement. They generally include:

  • Master audio file (WAV, 24-bit, 48kHz)
  • Compressed audio file (MP3, 320kbps)
  • Video file(s) (MP4)
  • Cover artwork (PNG, 3000×3000 pixels)
  • Streaming platform links once distribution is live

Note: Streaming platforms may take 24–72 hours after our submission to fully index and display the song. Tenderframe is not responsible for platform-side delays.

6.3 Delivery Method

All deliverables are sent via email to the address on file, including direct download links and streaming platform URLs.

7. Revisions & Change Orders

7.1 Included Revisions

Each project includes 1 round of revisions at no additional cost. This revision period is used to correct any misunderstandings of the subject matter after the initial draft — for example, mispronounced names, factual corrections, clarifications of inside jokes, or minor lyric adjustments to better capture your intent.

7.2 Revision Process

You'll receive a draft (typically lyrics) via email. You have 48 hours to respond (24 hours for rush orders). You may approve the draft to move to production, or request your included revision with specific feedback, which we'll address within 24 hours.

If you do not respond within the stated window, we will send one follow-up email. After an additional 24 hours with no response, we will proceed to production with the current draft. Timeline extensions caused by client delays do not qualify for refunds or timeline adjustments.

7.3 Additional Revisions & Change Orders

Requests beyond the included revision round, or requests that significantly alter the creative direction after approval, are subject to additional fees. Examples include:

  • Additional lyric revision round — $100
  • Genre change (after production begins) — $200
  • Tempo change (after production begins) — $150
  • Vocal style or voice change — $150
  • Extended song length (beyond 5 minutes) — $200 per additional minute
  • Full lyric rewrite — $200
  • Additional verse — $100

Important: Once you approve the draft, production begins. Changes to lyrics, genre, tempo, or voice after approval require a Change Order and associated fees. Change orders may extend the timeline by 2–5 business days depending on scope.

8. Your Content & Privacy

8.1 Your Stories Belong to You

You retain full ownership of all stories, memories, anecdotes, inside jokes, names, and personal information you provide. Tenderframe claims no ownership rights over your lived experiences or personal history.

While you own your stories, Tenderframe owns the creative works (songs, lyrics, videos) produced from those stories, as described in Section 3. The creative transformation of your story into an original song does not transfer your story rights to Tenderframe.

8.2 How We Use Your Information

Information you provide in your intake questionnaire is used exclusively to:

  • Write lyrics inspired by your stories
  • Guide musical style, mood, and tone
  • Create visual content (where applicable)
  • Ensure accuracy of names, details, and facts
  • Communicate with you during production
  • Complete and deliver the contracted service

We will never use your personal stories, likeness, or intake responses for other clients' projects, AI training datasets, publications, sale or licensing to third parties, or marketing purposes without your explicit written consent.

8.3 Data Retention & Deletion

Tenderframe automatically deletes your personal intake data 90 days after project completion. This includes your intake questionnaire responses, personal stories and anecdotes, names and relationship details, and communication records.

We retain financial and billing records for 7 years (for tax and legal compliance), contract and agreement records for 7 years, and final deliverable files for 3 years (in case you need re-delivery).

You may request early deletion of your personal intake data at any time after project completion by emailing hello@tenderframestudio.com. We will process deletion requests within 30 days.

8.4 No Use of Your Likeness

Tenderframe will not use your name, likeness, image, or identity for any purpose — including testimonials, social media features, case studies, or press mentions — without your separate written consent.

8.5 Accuracy of Content

You represent that you have the right to use and share all content you provide, that the information in your stories is accurate to the best of your knowledge, and that the intended recipient would reasonably appreciate receiving this song.

9. Content Guidelines

9.1 Acceptable Content

Tenderframe creates songs for positive, celebratory purposes — romantic gestures, anniversaries, milestones, expressions of love and appreciation, and friendship celebrations.

9.2 Content Restrictions

We reserve the right to decline or terminate any project that requests content that:

  • Defames or harasses any individual
  • Promotes violence, hatred, or discrimination
  • Infringes on third-party intellectual property (for example, requesting specific copyrighted lyrics or melodies)
  • Misrepresents intent (for example, stalking, manipulation, or unwanted contact)
  • Involves minors inappropriately
  • Violates streaming platform Terms of Service

If we decline a project for these reasons after your deposit has been paid, you will receive a full refund.

10. AI-Assisted Production

You acknowledge and agree that our production process uses AI-assisted tools alongside human creativity. All songs are original compositions — AI tools assist in the production process, but every song is crafted with human oversight for lyrics, creative direction, and quality. AI-generated visual content (where applicable) is presented as artistic interpretation, not historical documentation.

11. Limitation of Liability

Tenderframe's total liability to you for any claims arising from your use of our services shall not exceed the total amount you paid under your order.

To the maximum extent permitted by law, Tenderframe shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.

Tenderframe is not responsible for streaming platform outages or technical issues, changes to platform terms of service, platform indexing delays, future removal of content by platforms for any reason, or acts or omissions of third-party distribution services.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tenderframe Studio LLC, its members, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from:

  • Your breach of these Terms or your Service Agreement
  • Your misrepresentation of facts or intent
  • Any claims by the intended recipient or third parties related to the song's content
  • Your unauthorized use of deliverables beyond the license granted

13. Dispute Resolution

We believe most issues can be resolved through honest conversation. If a dispute arises, the parties agree to first attempt resolution through good faith negotiation. If negotiation is unsuccessful, the parties agree to submit to non-binding mediation before a mutually agreed mediator, with mediation costs split equally.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles. Any legal proceedings arising from these Terms shall be brought in the state or federal courts located in Travis County, Texas.

15. Modifications

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of our services after changes constitutes acceptance of the modified Terms. Material changes will be communicated via email or website notice.

16. General Provisions

  • Entire Agreement: These Terms, together with your individual Service Agreement, constitute the entire agreement between you and Tenderframe. In the event of any conflict between these Terms and your Service Agreement, the Service Agreement shall prevail.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
  • Assignment: You may not assign or transfer your order or these Terms without Tenderframe's prior written consent.
  • Force Majeure: Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including natural disasters, pandemics, war, terrorism, or government actions.
  • Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of future enforcement.
  • Electronic Signatures: Electronic signatures (including checkbox acceptance on web forms) are deemed valid and enforceable.
