Terms of Service

Welcome to Tenderframe Studio LLC ("Tenderframe," "we," "our," or "us"). By accessing our website, purchasing our services, or submitting intake forms, you agree to be bound by these Terms of Service. Please read them carefully.

1. The Service Overview

Tenderframe is a content creation house and professional music label. We specialize in transforming personal stories, photos, and memories into original, studio-quality music and cinematic video releases. We are not a traditional videography service; we operate under a "Label-to-Artist" model, producing master creative works based on your provided context.

2. Intellectual Property & Rights (The "Artist-Not-Listener" Model)

Understanding ownership is critical to our process. We operate under the following split-rights structure:

  • Your Story is Yours: You retain all ownership, copyright, and rights to the raw photographs, videos, and personal stories you submit to us. We claim no ownership over your life history.
  • The Master Belongs to the Label: Tenderframe retains full ownership, copyright, and publishing rights to the final creative works we produce (the composed audio, lyrics, and the edited cinematic video).
  • Your License: Upon final delivery and full payment, Tenderframe grants you a perpetual, royalty-free, non-exclusive license to use, share, display, and play the final deliverables for personal, non-commercial use. You may not resell the song, submit it to other distributors, or monetize the video on public platforms without our written consent.

3. The "Do No Harm" Policy & Content Guidelines

We treat your memories with profound respect. As a condition of service, all clients must adhere to our ethical standards. We strictly prohibit the submission of assets or requests that:

  • Attempt to generate non-consensual imagery (deepfakes) of living persons.
  • Promote hate speech, violence, harassment, or illegal activities.
  • Weaponize memories or create content designed to gaslight or cause emotional distress.
  • Violate the copyrights or trademarks of third parties.

Tenderframe reserves the right to reject any project, cancel any order, or terminate services immediately if we determine, at our sole discretion, that a request violates our Do No Harm policy.

4. Project Scope, Revisions & The "Velvet Cage"

To ensure we deliver premium quality on time, we enforce strict production boundaries:

  • Business Days: All timelines and delivery dates are calculated in "Business Days" (Monday–Friday, excluding US Federal Holidays).
  • Asset Lock Dates: For Tier 2 and Tier 3 projects, all client-provided assets (photos, documents) must be submitted by the agreed-upon Asset Lock Date. Assets submitted after this date will not be included without an approved Change Order.
  • Revision Scope: Included revisions are specifically for "Interpretation Alignment" and factual corrections (e.g., correcting name spellings or inside jokes). Revisions are not intended for pivoting the core creative direction, genre, or narrative structure once production has begun. Major scope changes require a paid Change Order.

5. Payment, Refunds & Abandonment

Payment Terms: Tier 1 ("The Hit Single") requires full payment upfront. Tier 2 and Tier 3 projects require a non-refundable 50% deposit to commence production, with the remaining 50% due upon final approval.

Refunds: Due to the bespoke, labor-intensive nature of custom music and video production, we do not offer refunds once production has commenced. If an order is canceled before production begins, a full refund will be issued.

Project Abandonment: If Tenderframe requires client input, asset uploads, or approval to proceed, and the client remains unresponsive for thirty (30) consecutive calendar days, the project will be considered legally abandoned. The file will be closed, and no refunds or deposits will be returned.

6. Streaming Platform Distribution

As part of our service, Tenderframe distributes your original track to major streaming platforms (Spotify, Apple Music, etc.) via our professional distribution partners (e.g., DistroKid).

While we format and submit all metadata correctly, we cannot guarantee placement, retention, or timeline of appearance on any third-party platform. Spotify, Apple Music, and others reserve the right to reject, remove, or delay tracks at their sole discretion. Removal of a track by a third-party platform does not constitute a breach of this Agreement by Tenderframe.

7. Use of AI and Generative Tools

Tenderframe utilizes commercial-tier generative AI tools (including but not limited to Suno, Veo, and image generation models) as part of our creative pipeline. We hold valid commercial licenses for these tools. By engaging our services, you consent to our use of these technologies to compose, arrange, and visualize your deliverables.

8. Limitation of Liability

To the maximum extent permitted by law, Tenderframe Studio LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of our services.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Oklahoma City, Oklahoma.
