Definitions: As used in this Agreement, “Production” means the engagement and services described herein (the Love Story package). Terms such as timeline and delivery refer to this Production unless otherwise stated. “Business day” means Monday through Friday, excluding US federal holidays and any closure dates Tenderframe publishes in advance. Unless this Agreement explicitly says “calendar day,” milestone labels such as “Day 1,” “Day 7,” “Day 21,” and the schedules in Section 6 and Appendix B mean consecutive business days on Tenderframe’s internal Production schedule (not seven-day weeks).

1. Overview of Services

1.1 Package Description

This Agreement is for The Love Story package, Tenderframe's flagship original song and cinematic video creation service. By signing this Agreement and submitting the required deposit, Client engages Tenderframe to produce a 4K cinematic video integrating Client-provided photographs/videos, generative AI scene reconstructions, and an original custom score/song.

1.2 Multi-Contributor Features

Client acts as the "Coordinator." Tenderframe provides a secure upload portal link. Client is solely responsible for distributing this link to family/friends and ensuring all third-party contributors have the legal right to share the photos they upload. Client represents that they have obtained consent for Tenderframe to use all submitted likenesses.

1.3 Delivery & Distribution

Tenderframe will deliver:

• One (1) Custom Original Song (3:30–5:00 minutes).
• One (1) 4K Cinematic Music Video Master (.mp4).
• One (1) Uncompressed Audio Master (.wav) optimized for event venues.
• Digital Distribution to major streaming platforms (Spotify, Apple Music, etc.) under the artist name "Tenderframe."
• One (1) Physical Keepsake Box mailed to the Client's address containing a USB drive with master files.

1.4 Not a Substitute for Event Videography

Tenderframe produces studio-crafted content prior to your event. We do not provide on-site event videography or photography services.

2. Client Responsibilities & The "Velvet Cage"

2.1 The Asset Lock Date (Day 7)

To ensure cinematic quality and on-time delivery, Tenderframe enforces a strict Asset Lock Date. All client-provided assets (photos, videos, questionnaires) must be submitted to the vault by 11:59 PM CST on Day 7 of the Production schedule. Once locked, Tenderframe begins intensive audio composition and visual editing.

2.2 Late Assets & Scope Creep

Assets submitted after the Asset Lock Date will not be included in the Production unless Tenderframe, at its sole discretion, approves a written Change Order (see Appendix A). Tenderframe is not responsible for missed premiere dates if Client fails to meet the Asset Lock deadline.

2.3 Acceptable Formats

Client must submit uncompressed, high-resolution original photos where possible. Tenderframe cannot guarantee the quality of AI upscaling if the source material is heavily degraded, watermarked, or screenshotted.

2.4 Revisions (One "Alignment" Round)

The Love Story package includes exactly one (1) round of Alignment Revisions. Revisions are restricted to factual corrections (e.g., misspelling of a name, removing an ex-partner from a shot, fixing an misinterpreted inside joke) to align with our Do No Harm policy. Revisions are not intended for pivoting the core genre, tempo, or narrative structure once production has commenced. Additional revisions require a paid Change Order.

3. Intellectual Property & Rights (The "Artist-Not-Listener" Model)

3.1 Your Story Remains Yours

Client retains all ownership, copyright, and rights to the raw photographs, videos, and personal stories submitted to Tenderframe.

3.2 The Master Belongs to the Label

Tenderframe is a professional music label. Tenderframe retains 100% full ownership, copyright, master recording rights, and publishing rights to the final creative works produced (the composed audio, lyrics, edited cinematic video, and AI-generated elements).

3.3 Client License

Upon final delivery and full payment, Tenderframe grants Client a perpetual, royalty-free, worldwide, non-exclusive license to use, display, and play the final deliverables for personal, non-commercial use (e.g., playing at a wedding, sharing on personal social media). Client may not resell the song, submit it to distributors (like DistroKid or TuneCore), or monetize the video.

3.4 AI Generation & Prompts

Tenderframe utilizes commercial-tier AI tools. Tenderframe retains all rights to the text prompts, engineering workflows, and proprietary generation methods used to create the Production.

4. Financial Terms

4.1 Payment Structure

The total fee for The Love Story package is $1,995.00 USD. Payment is divided into two parts:

• 50% Non-Refundable Deposit ($997.50): Due immediately upon signing this Agreement to secure the Production slot.
• 50% Final Balance ($997.50): Due upon Client's approval of the final deliverables, prior to the release of master files and Spotify distribution.

4.2 Refunds

Due to the immediate commencement of labor and custom creative work, the initial 50% deposit is strictly non-refundable. If Tenderframe cancels the project for reasons outside of Client breach, a full refund will be issued.

4.3 Abandonment

If Tenderframe requires Client input to proceed and Client remains unresponsive for thirty (30) consecutive calendar days, the project will be considered abandoned. The file will be closed, the deposit forfeited, and no final deliverables will be released.

5. Do No Harm Policy

Client agrees that they will not request, and Tenderframe will immediately refuse to produce, any content that:

• Generates non-consensual imagery (deepfakes) of living persons.
• Animates deceased persons' faces to speak or move in an "uncanny" manner.
• Promotes hate speech, harassment, or illegal activities.
• Weaponizes memories to cause emotional distress to third parties.

Tenderframe reserves the right to terminate this Agreement immediately without refund if Client violates this policy.

6. The Production Timeline

Day 1	Deposit paid. Virtual Kickoff Call scheduled. Family Upload Portal opened.
Day 7	Asset Lock Date. Vault closes. Audio composition and video editing begin.
Day 21	First Cut delivered to Client for review.
Day 23	Client provides consolidated feedback for Alignment Revision.
Day 28	Final Cut delivered. Final 50% balance due. Distributed to streaming platforms.

7. General Provisions

7.1 Limitation of Liability: Tenderframe shall not be liable for any indirect, incidental, or consequential damages. Tenderframe’s total liability shall not exceed the amount paid by Client under this Agreement.

7.2 Third-Party Platforms: Tenderframe distributes to platforms like Spotify, but cannot guarantee algorithmic placement or immunity from arbitrary platform policy changes regarding AI content.

7.3 Governing Law: This Agreement shall be governed by the laws of the State of Oklahoma. Any disputes shall be resolved in the courts of Oklahoma City, OK.
